Key Responsibilities :
Corporate Governance and Transactional Matters
- In-depth knowledge of BC BCA required
- In-depth knowledge of RHEI’s equity compensation plan required
- In-depth knowledge of RHEI’s corporate governance policies required
- Conduct in depth legal research on corporate law matters
- Handle all filings and registrations with corporate registrars
- Diarize corporate deadlines and ensure such deadlines are met
- Draft Board and Shareholder Resolutions and Meeting Agendas
- Maintain cap table including equity compensation table
- Draft equity compensation awards and necessary documentation to issue shares on vesting
- Draft corporate reorganization documents from time to time
- Stay ahead of evolving laws and industry standards in corporate matters
- Provide support services and assist on M&A and financing transactions
- Assist in due diligence reviews, and provide information to the finance team and auditors
- Coordinate and draft closing documents and perform other matters relating to transactions.
Content & IP Protection
- Assist in reviewing and drafting terms of service, privacy policies, content licensing agreements, and partnership contracts.
- Administer trademark documents in conjunction with U.S. trademark counsel
- Monitor trademark applications to ensure filing and response deadlines are met
Contract & Policy Management
- Draft, review, and maintain legal documentation, including NDAs, commercial agreements, employment contracts, consulting contracts, and referral agreements
- Proofing, editing, formatting, and section reference checks in draft agreements
- Work closely with business departments to streamline policies and procedures, particularly with respect to variations from standard form documents, and for document execution and retention
- Coordinate translation of agreements and legal documentation
- Coordinate with external counsel and other vendors on specialized legal matters, including trademark registrations and litigation
- Prepare correspondence, reports, presentations and other documents in collaboration with the Legal Team, and provide information to the accounting and business teams as necessary
- Coordinate annual insurance renewal and maintain relationship with broker, and monitor insurance clauses in new contracts to comply with the limits of RHEI insurance policies
- Assist in administrative matters when required
Key Requirements :
- Legal Expertise
- Strong knowledge of British Columbia corporate law
- Experience in tech law, AI, or digital content-related legal work is a plus
- Tech & AI-Savvy
- Keen interest in AI, digital platforms, and the creator economy
- Comfortable navigating AI-driven legal landscapes, automation tools, and compliance software
- Proficient in Word, Excel and Docusign
- Strong Communicator & Detail-Oriented
- Ability to translate complex legal jargon into clear, actionable guidance for non-legal teams
- Sharp attention to detail in contract review and legal research
- Experience in Project Management is a plus
