What you will do

  1. Managing corporate records, including maintenance of minute books, requisite registers and ledgers, and the corporate entity database to ensure integrity of data. Overseeing digitization of physical minute books.
  2. Preparing and filing documents for formation and organization, amendment, continuance, amalgamation, arrangements, extra-provincial registration and dissolution of corporate, sole proprietorship and partnership entities.
  3. Analyzing the need for registration in various jurisdictions and overseeing extra-provincial and territorial registrations, amendments, and annual returns.
  4. Reviewing and interpreting reorganization memos, share purchase and asset purchase agreements.
  5. Preparing complex and routine documents in support of intercompany and third party transactions, including closing agendas, agreements, authorizing resolutions and ancillary documents.
  6. Assisting in post-closing organization of transaction material, updating records and preparation of record books.
  7. Preparing board and shareholder meeting materials, including notices and resolutions.
  8. Preparing officer and notarial certificates.
  9. Responding to complex requests for information relating to corporate secretarial matters from a variety of clients.
  10. Drafting and reviewing complex share provisions.
  11. Monitoring developments in Canadian corporate law requirements relevant to corporate matters and revising precedent documents and internal processes and procedures to address regulatory changes.
  12. Working on multiple transactions and matters simultaneously.
  13. Providing support to lawyers while performing a variety of legal and administrative duties.
  14. Establishing and managing direct client relationships.
  15. Conducting minute book reviews and providing input for documents being filed in non-local jurisdictions.
  16. Acting as a mentor and establishing a training relationship with junior and intermediate clerks in the group, fostering a respectful, collaborative, learning environment within the team and acting as a role model.
  17. Monitoring and communicating with lawyers with respect to ongoing corporate filings and other requirements.

What you bring to the role

  1. Minimum 10 years of experience as a Corporate Law Clerk.
  2. ILCO certification is preferred.
  3. Experience with MinuteBox and Netdocs considered an asset.
  4. Excellent written and verbal communication skills.
  5. Ability to manage multiple tasks and meet deadlines.
  6. Strong attention to detail and organizational skills.
  7. Ability to work independently and as part of a team.
  8. Advanced computer skills including proficiency with Microsoft 365.
