Job summary

Northview Law in Kitchener is seeking an experienced Corporate Lawyer to join our team. The role targets lawyers with 4–5+ years of post-bar experience who bring strong corporate and commercial practice and enjoy close client collaboration on complex business matters.

You will provide corporate and commercial advice, draft and negotiate contracts, and lead M&A transactions with a focus on private equity, joint ventures, and strategic arrangements. Ontario licensing required.

Qualifications

• 4–5+ years of post-bar experience in corporate law.
• Experience drafting and negotiating complex commercial contracts.
• M&A experience is an asset.
• Experience with private equity, joint ventures, partnerships, or other sophisticated corporate transactions is an asset.
• Excellent negotiation and communication skills.
• Strong analytical skills and commercial judgment.
• Ability to understand clients' business objectives and provide practical legal solutions.
• Highly organized with strong attention to detail.
• Ability to work independently and collaboratively.
• Licensed to practice law in Ontario and in good standing with the Law Society of Ontario.

Responsibilities

• Provide corporate and commercial legal advice to a diverse range of clients.
• Draft, review, and negotiate complex contracts and commercial agreements.
• Assist with and lead M&A transactions and other corporate transactions.
• Advise clients on private equity, joint ventures, partnerships, and strategic business arrangements.
• Negotiate transaction terms and commercial agreements while protecting client interests.
• Conduct due diligence and assist with transaction structuring.
• Identify legal and commercial risks and provide practical solutions.
• Work directly with clients and other professional advisors throughout transactions.
• Manage corporate files independently and efficiently.
• Build strong, long-term client relationships.
