The Descartes Systems Group Inc., a growing software company in the Kitchener-Waterloo tech community, seeks a Corporate Counsel to join its legal team. This role offers exposure to various legal matters related to managing and operating a global, publicly traded technology company.

Under the supervision of the General Counsel, your responsibilities will include:

  1. Drafting and negotiating a variety of commercial agreements, including IT procurement, software licensing, SaaS, e-commerce, hosting, SLAs, NDAs, professional services, and contractor agreements.
  2. Assisting in M&A activities, including post-closing integration.
  3. Advising on multi-jurisdictional employment issues.
  4. Negotiating leases, subleases, and real estate agreements.
  5. Managing litigation matters.
  6. Supporting the Marketing Department with event and venue agreements, external advisors, contests, and insertion orders.
  7. Managing the company's global intellectual property portfolio.
  8. Handling subpoenas and minor claims to resolution.
  9. Developing and updating internal agreement templates.
  10. Implementing and ensuring compliance with contracting processes and standards.
  11. Monitoring legislative and regulatory changes across jurisdictions and assessing their impact.
  12. Managing external counsel for dispute resolution.
  13. Supporting other corporate legal matters as needed.

Experience Required

  • Law degree and membership in good standing with a Canadian law society.
  • At least 7 years of experience drafting, negotiating, and advising on commercial transactions.
  • Deep knowledge of commercial law relevant to technology transactions.
  • Experience in M&A and litigation management.
  • Advisory experience in international employment law.
  • Familiarity with trademark, copyright, and privacy laws (GDPR, CCPA, UK GDPR, PIPEDA, etc.).
  • Experience with marketing contracts, event agreements, sponsorships, and venue contracts.
  • Strong business acumen and ability to view issues from non-legal perspectives.
  • Experience with real estate and leasing agreements is a plus.
  • Experience in the technology sector is an asset.
  • Experience managing legal teams or junior lawyers.

Skills and Aptitudes Required

  • Member of the Canadian Bar.
  • Judgment, commercial savvy, and negotiation skills.
  • Ability to work independently and manage multiple projects.
  • Strong work ethic, professionalism, and organizational skills.
  • Resilience under pressure and adaptability to a fast-paced environment.
  • Excellent interpersonal skills and flexibility for international time zones.

Location

This is a fully remote position with an option to work from our headquarters in Waterloo. Applicants authorized to work in Canada are welcome, with a preference for those in the Eastern Time Zone.
