Job summary

CAE Inc. is seeking a capable Corporate Paralegal to maintain corporate records for CAE and subsidiaries, support entity formations and reorganizations, and manage filings across Canada and the U.S. The role works closely with tax, treasury, and HR teams.

You will assist with board materials and regulatory disclosures, leveraging MS Office and specialized systems to ensure accuracy and compliance. Bilingual English/French required.

Qualifications

  • Fluent in French and English (oral and written).
  • Minimum 3 years in a corporate legal department or law firm.
  • Experience with corporate records, filings, and regulatory disclosures.

Responsibilities

  • Maintain corporate records for CAE and subsidiaries.
  • Support formation of new entities and reorganizations.
  • Prepare and manage corporate filings and related documents.
  • Assist tax, treasury, and HR with corporate actions and transactions.
  • Prepare materials for Board meetings and shareholders' meetings.
  • Manage regulatory filings with Canadian/US authorities and stock exchanges.

Description
  • Maintain the corporate records (hard copy and electronic) of CAE and its subsidiaries, including drafting resolutions and other corporate documents, and responding to information requests from various business units.
  • Support the formation of new corporate entities and implementation of corporate reorganizations (e.g. amalgamations, continuances, dissolutions).
  • Prepare/review and manage corporate filings (e.g. annual filings and declarations, extra-provincial filings, trade name registrations), powers of attorney and notarization/apostille of various documents, as needed.
  • Support tax, treasury, and human resources teams with various corporate actions and transactions, including acquisitions/dispositions, declarations of dividends, capital injections, and stock-based employee compensation plans.
  • Participate in the preparation of materials for meetings of the Board of Directors and its committees, and for the annual shareholders' meeting.
  • Participate in the management of the different filings to be made with Canadian and U.S. securities regulators and with the TSX and NYSE to ensure compliance with continuous disclosure requirements (including quarterly reports, press releases, annual reports, insider reporting, material change reports, and other regulatory filings).

Minimum Qualifications
  • A college diploma in paralegal studies (or in an appropriate discipline) or law degree.
  • Minimum of 3 years of relevant experience in a corporate legal department or a law firm.
  • An excellent command of French and English (oral and written) and good writing skills.
  • High level of proficiency with Microsoft Office (Outlook, Word, Excel, and PowerPoint), entity management systems, corporate filings systems, and corporate search systems.

  • Solid work ethic, good judgment, and discretion in handling sensitive information.
  • Ability to work collaboratively within a team and develop strong cooperative and supportive relationships based on open and honest communications.
