Reporting to the Senior Counsel, Technology and Strategic Sourcing, the Legal Counsel position provides sophisticated advice on a broad range of third-party risk management activities, technology contracting, outsourcing, and corporate law matters for the Bank.

Key Responsibilities:
  1. Provide expertise in third-party risk management, non-disclosure agreements, outsourcing arrangements, licenses, cloud and SaaS agreements, consulting arrangements, and other technology-related commercial matters. Support various client groups within the Bank and represent the Legal Department on related issues, including regulatory submissions and the Bank’s living will/resolution plan.
  2. Offer pragmatic advice, review, negotiate, and draft commercial agreements; create precedents, processes, and systems; occasionally instruct outside counsel; and manage multiple tasks and challenges effectively.
  3. Promote a customer-focused culture to deepen client relationships and leverage the Bank’s broader relationships, systems, and knowledge.
  4. Consider the Bank’s risk appetite and culture in daily activities and decisions.
  5. Ensure effective operations in line with Scotiabank’s Values, Code of Conduct, and Global Sales Principles, while maintaining robust business controls to meet operational, compliance, AML/ATF/sanctions, and conduct risk obligations.
  6. Foster a high-performance, inclusive work environment.
Candidate Profile:
  1. Qualified to practice law in Ontario or another Canadian province.
  2. Minimum of 5 years’ relevant experience at a major financial institution or law firm.
  3. Strong knowledge of third-party risk management, NDAs, outsourcing, licenses, cloud and SaaS agreements, consulting arrangements, OSFI Guideline B-10, and willingness to handle diverse issues.
  4. Ability to work independently with minimal supervision.
  5. Versatile, flexible, collaborative, with strong analytical, communication, and judgment skills.
  6. Position located in Toronto, Ontario.
