Director of Human Resources & Facilities at McLeod Law LLP

We are seeking a dedicated and detail-oriented Law Clerk to join our Corporate Records team at our Bannister Road office. A successful candidate will play a crucial role in maintaining corporate records and preparing various documents related to high-level corporate transactions.

RESPONSIBILITIES

  • Drafts a variety of documentation, including resolutions, agreements and prescribed forms for various jurisdictions, in accordance with legislation and/or governing regulations ensuring that each action on the file conforms to the governing statutes and regulations.
  • Drafts documents related to incorporations and organize both Provincial and Federal corporations
  • Conducts due diligence minute book reviews including recommendations as to deficiencies
  • Assists in the preparation of documentation and attends closings
  • Assists with corporate due diligence, corporate reorganizations, share or asset purchase transactions or tax reorganization
  • Attends to follow up and maintenance of registrations under relevant legislation.
  • Drafts share provisions pursuant to professional instructions
  • Prepare annual documentation
  • Collaborate with the Corporate Records team and business Law practice group to ensure accuracy and compliance
  • Other duties as assigned

QUALIFICATIONS

  • Level III CORES Accreditation
  • Previous experience in a Law firm environment is preferred
  • Ability to communicate effectively with other Firm members, with the aptitude to handle client matters in a professional and courteous manner
  • Knowledgeable about current relevant legislation and government regulations
  • Ability to analyze legal documents for accuracy
  • Produce a high quality and quantity of work under tight timelines
  • Strong organizational and time management skills
  • Proven ability to work collaboratively with internal teams and flexibility to adapt to changing priorities
  • Experience with ALF or other similar software
  • Proficient in MS Office
