Job summary

BroadGrain Commodities Inc. in Toronto seeks a Legal Counsel for a ~12-month contract to support the corporate team. The role reports to the CEO and manages corporate structure, regulatory compliance, and cross-border contracts across multiple jurisdictions.

The ideal candidate is a Ontario-licensed lawyer with 3+ years post-call experience, strong drafting and communication skills, and the ability to navigate complex international matters. Accommodation support is available during the process.

Qualifications

• Member of the Law Society of Upper Canada (Ontario) in good standing.
• 3 years of post-call experience.
• Excellent knowledge of Canadian laws relevant to business.
• Experience with international, cross-border matters is beneficial.
• Strong drafting and oral communication skills.
• Willingness to understand technical issues and craft solutions.

Responsibilities

• Oversee corporate group structure in Canada and internationally.
• Coordinate external legal activities across jurisdictions (Canada, UAE, Nigeria, Algeria, China, Barbados, Argentina).
• Structure, review, draft and negotiate commercial contracts.
• Counsel on IT, employment, contract laws, and regulatory controls.
• Support financing transactions and occasional M&A activity.
• Lead due diligence, articles of incorporation, and corporate governance tasks.
• Maintain compliance programs and monitor legislative changes.
