The Director, Legal Affairs will report directly to the Chief Executive Officer (CEO) of Medisca Pharmaceutique Inc. (the “Company”) and will be responsible for the management of legal matters for the Company and its affiliates, together with the day-to-day operations of the Legal Department. The Director, Legal Affairs will provide legal assessments and risk analysis regarding business operations, initiatives and requirements to conduct business in the jurisdictions in which Medisca carries out business, including contract negotiation and management, regulatory compliance, acquisitions and growth expansions, employment matters, data privacy and security, management and protection of intellectual property, risk management, and generally all areas to support the Company’s objectives. This position requires a dynamic, organized self-starter who thrives in a fast-paced environment, functions well in legal and cross-functional teams, has an excellent command of both oral and written communications, and enjoys working on a vast array of issues on a day-to-day basis. A Contract Administrator and a Paralegal report to the Director, Legal Affairs .

Responsibilities & Duties :

  • Provide legal advice to the Company and its affiliates regarding all aspects of the business.
  • Draft and negotiate contracts such as supply agreements, customer agreements, license agreements, contract manufacturer agreements, research and development agreements, and provide ongoing legal guidance and project management support throughout the relationship life cycle oversight of the management of renewals, terminations and disputes.
  • Provide support to potential transactions and strategic partnerships (e.g. acquisitions, investments, joint ventures, licensing), including lead or support due diligence efforts.
  • Support regulatory compliance activities including product sourcing, quality processes and product life cycle management and marketing.
  • Provide advice and counsel on employment law issues including hiring, disciplinary process, terminations, employee policies, pay and benefits, and internal investigations.
  • Defend and resolve employment-related claims, including management of outside counsel along with the People & Culture team.
  • Assist in developing, implementing, improving, and reviewing legal compliance projects and training, including workplace safety, data and cyber security, risk mitigation, and protection of personal information.
  • Manage litigation matters including working with company staff to gather information needed for the development of case strategies, production of witnesses for deposition and production of relevant documents and data to respond to discovery requests, as well as manage outside counsel support.
  • Advise on public and intra-company communications, including marketing campaigns.
  • Review, draft, and provide general legal advice on corporate policies.
  • Collaborate with legal team and leadership levels to identify and implement process improvements.
  • Build close cross-functional relationships with business team members.
  • Demonstrate a business-friendly approach to legal problem solving and an ability to counsel the Company effectively by providing its leaders and staff with clear and concise practical advice, consistent with the organization’s internal governance processes, and creative solutions to solve problems and add value in line with the strategic business plan.
  • Keep abreast of upcoming and ongoing legal and regulatory changes in a dynamic and rapidly evolving area of law with multi-jurisdictional differences.
  • Collaborate with and update leadership on legal matters impacting the business.

Qualifications :

  • Bachelor of Law degree from a Canadian University with the ability to practice in Quebec (Quebec Bar); ability to practice in another Canadian province or a U.S. State would be an asset
  • A minimum of 10 years of experience that includes, preferably, both experience at a law firm and in a corporate legal department, including experience in a role managing others
  • US and international experience required
  • Corporate transaction experience and general corporate governance experience
  • Pharmaceutical, employment law, and M&A experience are preferred
  • Experience in the medical device, pharmaceutical or similarly regulated industry preferred
  • Fluent French and English (oral & written) required. English is required for this position because this person will be involved with all legal matters worldwide for the Company and its affiliates, as well as interact with all Medisca employees in Canada, US, Australia and Europe for this purpose.
  • In-depth understanding of the role of an in-house legal counsel in a corporation
  • Ability to devise and execute legal strategies and objectives
  • Well-versed in business operations with strong financial acumen
  • High degree of professional ethics and integrity
  • Strong negotiation and communication skills
  • Ability to anticipate legal issues or risks
  • Ability to work and thrive in a fast-paced, rapid growth environment
