Job summary

Adecco Canada is seeking a Senior Corporate Paralegal with CORES 3 to join our Edmonton team. You will prepare and review corporate documents, support mergers and regulatory compliance, and maintain corporate records.

The role requires a Diploma or degree in Paralegal Studies and at least three years of corporate paralegal experience; strong organizational and communication skills are essential; provincial eligibility to work in Canada is required.

Qualifications

• Diploma or degree in Paralegal Studies or related field.
• Minimum 3 years of corporate paralegal experience.
• Strong knowledge of corporate law procedures and compliance.
• Experience supporting business transactions and corporate reorganizations is a plus.
• Excellent organizational, communication, and time-management skills.

• Support mergers, acquisitions, restructurings, financings, and other corporate transactions.
• Maintain and update corporate records, minute books, and filing systems.

• Collaborate with legal professionals and regulators to manage corporate matters.
• Assist with transaction closings and ongoing corporate maintenance.

This role is ideal for a detail-oriented legal professional with experience supporting corporate transactions, governance matters, and regulatory compliance.

Responsibilities

• Prepare and review corporate legal documents, resolutions, agreements, and related transaction materials.
• Support mergers, acquisitions, restructurings, financings, and other corporate transactions.
• Maintain and update corporate records, minute books, registers, and electronic filing systems.
• Coordinate incorporations, amendments, amalgamations, dissolutions, business registrations, and extra-provincial filings.
• Conduct corporate searches and review records for compliance.
• Collaborate with legal professionals, clients, and regulatory bodies to manage ongoing corporate matters.
• Assist with transaction closings and corporate maintenance activities.

Qualifications and Skills

• Diploma or degree in Paralegal Studies, Legal Studies, or a related field.
• Minimum 3 years of corporate paralegal experience.
