Job summary

Lépine Talent inc. is assisting a well-established law firm in Montreal seeking a lawyer with 5 to 7 years of experience in business law, primarily corporate and transactional matters, to join their Montreal office.

Ideal candidate has strong mergers and acquisitions experience and a solid understanding of financing matters. The role involves managing transactions, due diligence, drafting agreements, and advising business clients with a focus on corporate and tax reorganizations.

Qualifications

• Bar admission in Québec and in good standing.
• 5–7 years of experience in business law, focusing on corporate and transactional matters.
• Solid experience in mergers and acquisitions.
• Knowledge of transactional financing.
• Excellent analytical, drafting and negotiation skills.
• Fluent in French and advanced proficiency in English, both written and spoken.
• Strong organizational skills, autonomy and attention to detail.
• Ability to manage multiple files and meet tight deadlines.
• Team-oriented, versatile and proactive.

Responsibilities

• Managing and overseeing transactions, files and related client relationships.
• Supervising due diligence in mergers and acquisitions.
• Drafting and reviewing commercial and transactional agreements (purchase and sale, shareholder or partnership agreements).
• Participating in financing documentation for transactions.
• Overseeing share capital structures and corporate documentation for reorganizations.
• Drafting and reviewing legal opinions and other transaction-related documents.
