The role offers exposure to private and public company transactions, emphasis on drafting and negotiating agreements, and collaboration with tax, financing, and regulatory specialists.

Qualifications

• 2 to 5 years of experience in mergers and acquisitions or transactional corporate law.
• Member in good standing of the Québec Bar.
• Experience drafting and negotiating transactional and commercial agreements.
• Fluency in French and English, written and spoken.

Our client, a leading international law firm, is looking to add a Mergers & Acquisitions lawyer to its Montreal team.

This opportunity is ideal for a transactional lawyer looking to work on complex and strategic matters for a sophisticated client base that includes corporations, institutional investors and entrepreneurs, both in Canada and internationally.

The Role

You will be involved in all stages of M&A transactions, including acquisitions and dispositions of businesses, strategic investments and various corporate transactions.

You will have the opportunity to:

• Participate in transactions involving private and public companies
• Draft, review and negotiate purchase and sale agreements as well as various transactional documents
• Assist with transaction structuring and due diligence
• Draft and negotiate shareholder agreements, investment agreements and other commercial agreements
• Advise clients on legal and commercial matters related to their transactions
• Collaborate with specialized teams, including tax, financing and regulatory
• Build direct relationships with clients and other parties involved in transactions

Profile

• 2 to 5 years of relevant experience in mergers and acquisitions or transactional corporate law
• Member in good standing of the Québec Bar
• Experience drafting and negotiating transactional and commercial agreements
• Excellent analytical, drafting and negotiation skills
• Strong business judgment and understanding of commercial considerations
• Autonomy, attention to detail and ability to effectively manage multiple priorities
• Collaborative mindset and excellent interpersonal skills
• Fluency in both French and English, written and spoken
