Job summary

Our client is recruiting a Corporate Law Clerk to join their team in downtown Toronto, ON. The ideal candidate has in-depth knowledge of Corporate law, strong attention to detail, and the ability to handle multiple priorities.

The role requires at least 5 years of experience, ILCO certification, and membership in good standing, with flexibility to work outside regular hours. Compensation ranges from $90,000 to $115,000 annually.

Qualifications

  • Minimum 5 years of experience as a Corporate Law Clerk.
  • Completion of ILCO Certification.
  • Membership in good standing with ILCO.
  • Flexibility to work outside regular hours when required.
  • Thorough knowledge of relevant corporate statutes.
  • Proficiency with Microsoft 365, MinuteBox, CorpLink, eCore and Adobe Acrobat.

Responsibilities

  • Prepare and file corporate documents for incorporations, amendments, and continuances.
  • Prepare simple and complex closing documents and assist lawyers with post-closing matters.
  • Prepare routine minute book documentation and make necessary filings.
  • Compose and file business name, partnership and limited partnership registrations as required by provincial legislation.
  • Prepare and file extra-provincial and territorial registrations and annual returns.
  • Prepare and file annual returns and notices under the Corporations Information Act and CBCA.
  • Review and summarize minute books and corporate records; draft remedial documentation.
  • Obtain Certificates of Status/Compliance.
  • Accountable for all work assigned; take initiative; confidentiality.

Job description

Our client is recruiting a Corporate Law Clerk to join their team. The ideal candidate has in-depth knowledge of Corporate law, strong attention to detail, and the ability to handle multiple priorities. This is an immediate vacancy located in downtown Toronto, ON.

Summary of Responsibilities:

  • Prepare and file articles and corporate documentation relating to simple/complex incorporations, organizations, amendments, continuances to/from other jurisdictions, short and long form amalgamations, dissolutions under the governed by the Business Corporations Act (Ontario), Canada Business Corporations Act, Canada Not-for-Profit Corporations Act and the Corporations Act (Ontario)
  • Prepare simple and complex closing documents, namely resolutions approving share and asset sale transactions, officer certificates, directions and assist lawyers with post closing matters, as may be required
  • Prepare routine minute book documentation (i.e. annual meeting materials, changes in directors/officers/registered office, dividends, share provisions, etc.) and make necessary filings
  • Compose and file business name, partnership and limited partnership registrations as required by provincial legislation
  • Prepare and file extra-provincial and territorial registrations, amendments and annual returns on behalf of corporations, partnerships and limited partnerships as required by the various provinces and territories
  • Prepare and file annual returns, initial returns and notices as required by the Corporations Information Act (Ontario) and Canada Business Corporations Act
  • Review, analyze and summarize basic/complex minute books and corporate records and recommend a course of action to rectify any deficiencies and draft necessary remedial documentation
  • Obtain Certificates of Status/Compliance

Core Skills & Requirements:

  • Minimum 5 years of experience as a Corporate Law Clerk
  • Completion of the Institute of Law Clerks of Ontario Certification
  • Membership in good standing with Institute of Law Clerks of Ontario
  • Flexibility to work outside regular business hours when required and/or necessary
  • Thorough knowledge, understanding and ability to apply working knowledge of the relevant corporate statutes
  • Microsoft 365 Suite of Applications, MinuteBox, CorpLink, eCore and Adobe Acrobat
  • Willingness to accept additional responsibilities as required
  • Ability to problem solve
  • Good judgment and decision making skills

Compensation:

The salary range for this position is $90,000 - $115,000 annually; the base pay offered may vary depending on job-related knowledge, skills, experience, and internal and market equity.
