We are seeking a full-time Corporate Law Clerk to support our clients and lawyers across corporate/commercial and charity matters. In this role, you will interact directly with clients, prepare and file corporate/legal documents, maintain corporate records, and contribute to initiatives that drive both client and Firm success. Key Responsibilities & Requirements
  • Manage a diverse range of corporate commercial matters with proficiency, catering to clients of varying sizes and industries.
  • Provide legal and strategic guidance on business creation and reorganization to help businesses optimize their structures for growth, efficiency and compliance.
  • Assist clients in growth strategies, including corporate expansions, partnerships, and funding initiatives.
  • Advise on mergers and acquisitions (M&A), including structure, due diligence, negotiation and implementation
  • Support charitable organizations and not-for-profits, advising on regulatory requirements and governance.
  • Navigate dispute resolution, both in using negotiation to solve disputes, and when necessary, providing strategic corporate legal counsel in litigation, arbitration, and alternative dispute resolution contexts.

Desired Qualifications
  • Law Clerk Diploma or equivalent post-secondary credential
  • 2 or more years of experience
  • Strong knowledge of corporate documentation and procedures
  • Proficient in MS Office and legal management software (Netdocs, Soluno, MinuteBox, Appara, Asana, or similar)
  • Excellent attention to detail, independent work ethic, and a passion for continuous improvement.
  • Experience with charities or non-profits is an asset, though a passion for impactful work is essential
