Job Description

Contracting Legal Professionals (CLP) in Accenture’s Corporate Functions organization coordinate and deliver legal, contract, and commercial counsel in support of Accenture's business. CLPs identify, help manage, and mitigate risk, ensure ethical behavior and compliance with laws and company policies, and provide guidance while negotiating contracts leveraging commercial and market relevant positions.

Lead, structure, draft, and negotiate complex client transactions in a fast-paced corporate environment, including master services agreements, outsourcing agreements, statements of work, service level agreements, licensing agreements, SaaS agreements, data transfer agreements, requests for proposals, and agreements involving cloud, blockchain security, automation, systems integration, and agile development. Advise senior leadership on legal risks and understand the broader market context. Manage and guide junior legal professionals in transactions and related matters. Continuously evolve as a knowledgeable and relevant advisor on legal and commercial risks while supporting Legal, Business, and Sales Leadership in executing market strategies.

KEY RESPONSIBILITIES
  1. Lead, structure, negotiate, and close Accenture’s largest and most complex client transactions to optimize legal and business benefits.
  2. Oversee, counsel, train, and support junior CLPs and other senior CLPs as needed.
  3. Stay updated on industry and legal developments affecting the company and incorporate this knowledge into transactional practices.
  4. Educate and advise company executives on legal and risk management issues.
  5. Develop expertise in legal or business areas that benefit the organization.
  6. Contribute to developing internal guidelines, toolkits, and knowledge resources on legal and business issues.
  7. Support and promote Legal Group initiatives.
  8. Embrace and evolve to gain expertise in seven Contracting attributes: pathfinder, architect, business-minded, nonconformist, inspired, relevant, and technology-enabled contracting professional.
QUALIFICATIONS
  1. JD (or equivalent)
  2. Licensed to practice law in at least one jurisdiction
  3. Minimum 8 years of transactional experience in digital, consulting, systems integration, and/or outsourcing, with increasing responsibility, in a law firm or a fast-paced corporate legal environment
  4. At least 4 years of experience negotiating Intellectual Property and Data Privacy issues (preferred)
KNOWLEDGE AND SKILL REQUIREMENTS
  1. Strong negotiation skills with principle-based strategies and alternative solutions presentation.
  2. Ability to independently manage a high volume of transactions efficiently.
  3. Experience drafting technology agreements.
  4. Understanding of Finance, Accounting, Marketing, and Management principles.
  5. Strong executive presence.
  6. Knowledge of contracting and risk issues, including IP, relevant to digital, consulting, systems integration, and outsourcing transactions.
  7. Excellent communication skills.
  8. Experience in investigations and drafting confidential reports for senior leadership.
  9. Knowledge of local ethical, conduct, compliance laws, and employee rights.
  10. Extensive experience in employee relations and workplace investigations.
WORK REQUIREMENTS
  1. Travel required.
  2. Current employment with a client of Accenture or an affiliated business may disqualify candidates.
RELATIONSHIPS

Reports to: Contracting Lead

Supervises: No direct supervisory responsibility

External Relationships: Client executives, negotiating teams, Outside Counsel
