Job summary

Alamos Gold Inc. is seeking a Commercial & Projects Counsel to provide legal support for Canadian and international operations, with a primary focus on commercial contracting, procurement, construction and capital projects.

You will collaborate with mine-site, projects, procurement, engineering and technical teams to address contracting strategy, risk allocation and commercial terms throughout the lifecycle of major contracts, ensuring compliance and practical business outcomes.

Qualifications

• Licensed to practice law in Ontario.
• Experience in corporate/commercial, construction, projects or procurement law.
• Experience drafting, reviewing and negotiating complex commercial agreements, especially construction, equipment/materials supply and professional services agreements.

Responsibilities

• Draft, review and negotiate a broad range of commercial agreements supporting operating mines, development projects and capital programs.
• Partner with mine-site, projects, procurement, engineering and technical teams to provide practical legal advice.
• Advise on contracting strategy, terms, risk allocation and protections.
• Advise on scope of work, pricing, schedules, warranties, indemnities and dispute resolution provisions.
• Support lifecycle of major contracts from procurement to close-out.
• Assist in contract amendments, change orders and performance issues.
• Review bids, purchase orders and procurement materials as required.
• Help develop and maintain contract templates and procurement processes.

Job description

Alamos is a Canadian-based intermediate gold producer with diversified production from three operations in North America. Reporting to the Associate General Counsel, the Commercial & Projects Counsel role will provide legal support to the Company’s Canadian and international operations, with a primary focus on commercial contracting, procurement, construction and capital projects. The successful candidate will work closely with the Company’s mine-site, projects, procurement, engineering, technical and other business teams in connection with the development, construction and operation of the Company’s mines and development projects.

Primary Responsibilities

• Draft, review and negotiate a broad range of commercial agreements supporting the Company’s operating mines, development projects and capital programs, including:
  • equipment, materials and other supply agreements;
  • construction and installation agreements;
  • engineering, procurement, consulting, construction management and other construction related and professional services agreements;
  • maintenance, repair and operational services agreements;
  • master services agreements, purchase agreements and related procurement documentation; and
  • confidentiality and other ancillary commercial agreements.
• Partner closely with mine-site, projects, procurement, engineering and technical teams to provide practical legal advice in connection with sourcing, procurement and contracting activities.
• Advise business teams on procurement and contracting strategy, including appropriate contracting models, commercial terms, allocation of risk and contractual protections.
• Advise on key contractual matters including scope of work, pricing and payment structures, schedules, warranties, indemnities, limitations of liability, insurance, performance security, intellectual property, termination rights, force majeure and dispute resolution provisions.
• Support project and site teams throughout the lifecycle of major contracts, from procurement and contract formation through contract administration, completion and close-out.
• Provide legal advice with respect to contract amendments, change orders, scope changes, delays, deficiencies, contractor and supplier performance issues, warranty matters and other issues arising during the performance of construction, supply and services contracts.
• Assist project and operational teams in identifying and managing contractual claims and disputes, including reviewing contractual entitlements, preserving the Company’s rights and working with external counsel where appropriate.
• Review and advise on requests for proposals, requests for quotations, bid documentation, purchase orders and other procurement materials, as required.
• Work collaboratively with procurement and business teams to develop, maintain and improve contract templates, contracting standards, procurement processes and other tools designed to improve consistency and manage legal and commercial risk.

Qualifications, Skills And Requirements

• Licensed to practice law in Ontario.
• Relevant experience practicing corporate/commercial, construction, projects or procurement law, either in private practice or an in-house legal department.
• Demonstrated experience drafting, reviewing and negotiating complex commercial agreements, with particular experience in construction contracts, equipment and materials supply agreements and professional services agreements.
• Strong understanding of commercial contracting principles and contractual risk allocation, including indemnities, limitations of liability, warranties, insurance requirements, performance obligations, termination rights and dispute resolution mechanisms.
• Experience advising clients, procurement professionals, project teams or commercial teams on contractual rights, obligations and risk.
• Ability to translate legal issues into practical, commercially focused advice for non-legal stakeholders.
• Ability to work independently, exercise sound judgment and take ownership of matters while working collaboratively as part of a broader legal and business team.
• Ability to manage multiple contract reviews, negotiations and other priorities simultaneously, including matters requiring timely turnaround.
• Willingness and ability to develop a detailed understanding of the Company’s operations, projects and commercial objectives and to work directly with mine-site and project personnel.

Assets But Not Required

• Experience in the mining, natural resources, construction, infrastructure, energy or heavy industrial sectors.
• Bilingualism in French or Spanish.
