Day-to-day responsibilities: Serve as the lead legal advisor for complex commercial transactions, independently structuring, drafting, reviewing, and negotiating a broad range of agreements, including NDAs, LOIs/MOUs, Master Services Agreements, Statements of Work, SaaS agreements, data processing agreements, reseller and partner agreements, and strategic vendor contracts across multiple jurisdictions. Identify legal, operational, and regulatory risks proactively, recommending practical mitigation strategies and advising leadership on complex or novel issues requiring sound business judgment. Partner with the Chief Counsel and cross-functional stakeholders to develop, implement, and maintain corporate policies, governance frameworks, compliance programs, and internal controls. Support strategic initiatives, including new product launches, commercial offerings, partnerships, and business process changes by providing timely legal and regulatory guidance. Manage relationships with outside counsel where appropriate, including oversight of legal spend, work product, and strategic advice. Drive continuous improvement initiatives across the legal function by identifying opportunities to streamline processes, implement technology solutions, and improve operational effectiveness.

Essential traits:

  • Strong executive presence with the ability to influence senior stakeholders and effectively communicate complex legal concepts to business audiences.

  • Proven experience building scalable legal processes, contracting frameworks, and operational improvements within a fast-paced, high-growth environment.

  • Exceptional negotiation, analytical, and risk assessment skills with the ability to identify practical solutions to complex business challenges.

  • Strong commercial acumen with an ability to balance legal risk against business objectives while maintaining a customer-focused approach.

  • Demonstrated success operating in ambiguous environments, exercising sound judgment, prioritizing effectively, and knowing when to elevate strategic issues.
