IFF is a global leader in flavors, fragrances, food ingredients and health & biosciences. The role is based in Castelo Branco, São Paulo, Brazil (hybrid).

You will draft, negotiate, and manage a range of commercial contracts to protect business interests and partnerships. We seek a lawyer with a bachelor's degree and proven experience in contract lifecycle management, who can collaborate with Legal, Finance, Procurement, Supply Chain and Operations.

Qualificações

• Bachelor's degree in Law or related field.
• Proven experience drafting, reviewing, negotiating, and managing commercial contracts.
• Strong understanding of contract lifecycle management, legal terminology, and compliance requirements.

Responsabilidades

• Draft, review, revise, and support the execution of a variety of commercial agreements, including vendor, service, partnership, and non-disclosure agreements.
• Ensure contractual terms align with organizational objectives, internal policies, legal requirements, and applicable regulations.
• Partner with internal stakeholders to gather information, requirements, and approvals needed throughout the contract lifecycle.
• Promote the consistent use of approved contract templates and standardized language.
• Negotiate terms with vendors, clients, and partners with cross-functional collaboration.
• Work with Legal to develop fallback provisions and resolve issues during negotiations.
• Identify contractual risks and mitigation strategies.
• Serve as a point of contact for contractual matters and guide stakeholders.

Where You’ll Make a Difference

• Draft, review, revise, and support the execution of a variety of commercial agreements, including vendor agreements, service contracts, partnership agreements, and non-disclosure agreements.
• Ensure contractual terms align with organizational objectives, internal policies, legal requirements, and applicable regulations.
• Partner with internal stakeholders to gather information, requirements, and approvals needed throughout the contract lifecycle.
• Promote the consistent use of IFF-approved contract templates and standardized contractual language.
• Negotiate terms and conditions with vendors, clients, and business partners while collaborating closely with Legal, Finance, Procurement, and Operations teams.
• Work with Legal to develop fallback provisions and resolve contractual issues arising during negotiations.
• Identify contractual risks, obligations, and potential liabilities, recommending mitigation strategies and supporting risk management initiatives.
• Serve as a key point of contact for contractual matters, providing guidance to stakeholders and helping project teams understand their contractual obligations.
• Monitor contract expiration dates and coordinate timely renewals or terminations in accordance with contractual requirements and company policies.

What Makes You the Right Fit

• Bachelor’s degree in Law, Business Administration, Supply Chain, Finance, Procurement, or a related field.
• Relevant experience drafting, reviewing, negotiating, and managing commercial contracts.
• Strong understanding of contract lifecycle management, legal terminology, and compliance requirements.
• Ability to identify contractual risks and translate complex legal concepts into practical business recommendations.
• Experience collaborating with cross-functional teams, including Legal, Finance, Procurement, Supply Chain, and Operations.
• Excellent written and verbal communication skills with the ability to build effective relationships with internal and external stakeholders.
• Strong organizational and project management skills with the ability to manage multiple priorities and deadlines simultaneously.
• High attention to detail and ability to handle confidential and commercially sensitive information with discretion.
• Proficiency in Microsoft Office applications and experience working with contract management systems or enterprise platforms.
