Ourjobs seeks a Legal Counsel for a leading multinational in the transport sector. You will draft, review and negotiate complex commercial agreements, support corporate governance, and contribute to strategic projects including extraordinary transactions and M&A.

Reporting to the Legal Director in Italy and working within a team of three, you will bring Italian Bar admission, 4–5 years PQE, and fluency in Italian and English to steer risk management and regulatory affairs across the business.

Competenze

• Italian-qualified lawyer admitted to the Bar.
• PQE of at least 4–5 years.
• Experience drafting, reviewing, and negotiating complex commercial agreements.
• Strong commercial and corporate (M&A) legal experience.
• Familiarity with public transport regulations, public procurement, and concessions.
• Procurement experience welcomed but not essential.
• Solid understanding of contractual risk allocation, liability limitations, indemnities, and termination.
• Excellent written and verbal communication in Italian and English.

Legal Counsel

Main responsibilities

Reporting to the Legal Director Italy and working within a team of three, the Legal Counsel will be responsible for drafting, reviewing and negotiating commercial agreements, supporting corporate governance activities, and progressively contributing to strategic projects, extraordinary transactions and M&A initiatives.

Candidate profile

• Italian Qualified lawyer, admitted to the Bar
• PQE of at least 4 to 5 years.
• Core Contractual Expertise: strong experience in drafting, reviewing, and negotiating a wide range of complex commercial agreements (e.g., supply, service, IT, and strategic partnership agreements).
• Good commercial and corporate (M&A) legal experience.
• Plus: Sector & Regulatory Knowledge: familiarity with public transport regulations, public procurement, and concessions.
• Procurement experience would be welcomed (but not essential).
• Risk Management: solid understanding of contractual risk allocation, liability limitations, indemnities, and termination mechanisms.
• Swift, effective and satisfactory resolution of legal issues across all fields.
• Ability to influence at all levels in the organisation.
• Very effective negotiation and influencing skills.
• Positive and proactive attitude and solutions-orientated.
• Strong analytical skills and able to interpret information to all levels of management throughout the company, becoming a valued partner.
