Job summary

TVH is seeking a motivated Commercial Legal Counsel to join the legal team. You will partner with business teams worldwide to deliver legally sound, business-oriented solutions, while contributing to a diverse set of topics within a 7‑person team.

You will advise on commercial contracts, manage legal risks, and protect the trademark portfolio globally, while improving templates and processes and sharing knowledge across the organization.

Qualifications

• Belgian Master’s degree in Law.
• 3–5 years in contract and commercial law with strong drafting skills.
• IP law experience is a plus.
• Fluent in Dutch and English; good knowledge of French.
• Strong communication and strategic business mindset.

Responsibilities

• Advise business teams on a broad range of commercial contracts and draft/negotiate agreements (sales, purchases, distribution, partnerships, data sharing, etc.).
• Manage and mitigate legal risks across operations.
• Oversee worldwide trademark portfolio with external advisors.
• Propose templates, policies and cross-department processes to improve efficiency.
• Ensure legal function supports the business globally from headquarters in Belgium.
• Liaise with external lawyers and service providers to ensure value for money.
• Stay up-to-date with legal developments and provide knowledge sharing and training.

Job description

TVH is looking for a motivated Commercial Legal Counsel to join the legal team.

As Commercial Legal Counsel, you will partner with the TVH business teams to achieve the strategic objectives of the company worldwide, while balancing the need for legally sound and business-oriented solutions. You will be part of a legal team consisting of around 7 people (including one other Commercial Legal Counsel), enabling knowledge sharing within the team, brainstorming on complex matters and the possibility to gain expertise in a given field while still being able to work on a varied set of legal topics.

Your role and responsibilities:

• Advising the business teams on various legal matters, and drafting, reviewing and negotiating a broad range of commercial contracts. These include various types of sales and purchase agreements (framework, distribution, partnership, spare parts purchase, private label, data sharing, etc.), as well as various types of indirect spend agreements (purchase, service, consultancy, agency, etc.).
• Managing and mitigating legal risks across various business operations.
• Ensuring proper prosecution of our trademark portfolio worldwide, together with our external advisors.
• Consistently reflecting on how the work of the legal team can be organized more efficiently, among others by establishing templates or policies, effecting changes in legal or cross-departmental processes or using (tech) tools.
• Ensuring that the legal function, which today operates out of the company’s headquarters in Belgium, supports the business globally.
• Liaising with external lawyers and other service providers, looking for providers that can deliver excellent value for money.
• Keeping up-to-date with relevant legal evolutions and developments, applying such up-to-date knowledge on a day-to-day basis and sharing any relevant knowledge within the legal team or providing training more broadly throughout the organization.

How to succeed / Your profile:

• Belgian Master's degree in Law.
• At least 3 to 5 years of professional experience in contract and commercial law, excellent drafting skills and ability to summarize and communicate complex legal issues in a concise manner. Experience with IP law is a plus.
• Real team player, honest, hands-on, convincing.
• Strong critical thinking and problem-solving skills, demonstrated legal skills (combined with an ability to take a strategic view on the challenges and issues facing the business), and eager to work in a dynamic environment. Business-minded.
• Excellent verbal and written communication skills.
• Fluent in Dutch and English. Good knowledge of French.
