Moir Group - Finance Recruiting is assisting a high-profile national not-for-profit client to appoint a Company Secretary for a flexible, part-time contract. The role is fully remote across Australia and focuses on statutory compliance and governance with the CEO and interim Board. A strong not-for-profit governance background is preferred.

The role involves ACNC lodgements, regulatory reporting, and maintaining corporate records, governance registers, and AGM materials for a planned 2027 AGM.

Qualifications

• Experienced Company Secretary or governance professional with strong statutory knowledge.
• Familiarity with ACNC requirements, Corporations Act and charity governance.
• Highly organized, proactive and able to manage multiple priorities with senior stakeholders.

Responsibilities

• Coordinate statutory compliance obligations under the Corporations Act.
• Manage ACNC lodgements and regulatory reporting with external advisers.
• Maintain constitutional records and officeholder information.
• Maintain governance registers, including directors' interests and resolutions.
• Support AGM prep, proxies and resolutions for the inaugural AGM in 2027.
