Dean & Ling Executive is seeking an Assistant Company Secretary to provide governance and secretariat support to the trustee Board and its Committees. The role is fully remote across Australia, reporting to the Company Secretary, and involves coordinating meetings, preparing materials, and ensuring regulatory compliance.
You will work with Chairs, Directors and executives to uplift governance processes, manage director lifecycle, and maintain governance registers.
This well-established superannuation trustee, part of a growing investment group, is known for its professional, supportive and collaborative culture and its commitment to delivering long-term value for members. As the organisation continues to strengthen its governance framework and processes, they are seeking an Assistant Company Secretary to provide practical, high-quality governance and secretariat support to the trustee Board and its Committees. This is a fully remote role, open to candidates based anywhere in Australia.
Reporting to the Company Secretary, you will coordinate the full lifecycle of Board and Committee meetings, from annual calendars, agendas and paper collation through to minutes, resolutions and action item tracking. You will support a range of Committees, including Risk, Audit and Compliance, Investment, Membership Services and Nominations and Remuneration. You will also work closely with Chairs, Directors and executives to improve the quality, clarity and timeliness of Board papers. You will support the Director and Responsible Person lifecycle, including appointments, inductions, declarations, conflicts and offboarding, and will maintain governance registers and records using Diligent and related systems. In addition, you will assist with ASIC and APRA obligations and support cyclical governance reviews, including fit and proper, skills and Board performance assessments. You will also contribute to governance uplift projects that make processes simpler and more reliable.
You will be an experienced governance professional, currently working as an Assistant Company Secretary, Governance Officer or Board Secretariat specialist. Superannuation experience is strongly preferred, and you will bring a sound working knowledge of trustee governance and the APRA-regulated environment. You will hold a tertiary qualification in law, business, commerce, governance or a related discipline, or have equivalent relevant experience, and will hold or be working towards the Graduate Diploma in Applied Corporate Governance from the Governance Institute of Australia. With highly developed written and verbal communication skills, you will have a proven track record in preparing Board and Committee materials and taking minutes. You will have a sound understanding of the Corporations Act as it relates to the company secretarial function. Highly organised and meticulous in your attention to detail, you will take pride in getting things right and will be confident following up Directors and executives to keep meetings and decisions on track. You will also bring an interest in continuing your professional development in superannuation and trustee governance.
