Our client is a well-established Australian organisation operating across a complex and highly regulated environment. The governance function works closely with senior leadership and key stakeholders, providing support across governance, risk and compliance matters.
The client is seeking an experienced Governance, Risk and Compliance Manager to join the business on a permanent basis, coordinating the group's governance, risk and compliance frameworks and keeping its statutory house in order. Reporting directly to the CFO and Company Secretary, this is a hands-on individual contributor role with no direct reports, based in either Sydney or Melbourne. It suits someone who takes genuine satisfaction in accurate registers, clean records and clear reporting, and who can engage confidently with executives, business owners and external advisers alike.
On the corporate secretariat side, you will support the Company Secretary across group and subsidiary boards and committees, preparing and coordinating documentation including officeholder appointments, ASIC lodgements and licensing documents. You will maintain statutory registers, manage registered office changes and associated third-party notices, and keep controlled corporate records such as constitutions and executed governance documents in line with records management requirements. From a governance and compliance perspective, you will own the Master Policy Register, coordinating scheduled policy reviews with accountable owners, tracking overdue reviews and approvals, and escalating material gaps to the CFO and Company Secretary. You will support drafting updates to policies and procedures, contribute to governance reviews and compliance initiatives, and coordinate timely responses to shareholder and stakeholder information requests covering insurance, director disclosures and related matters. On risk and commercial oversight, you will coordinate enterprise and operational risk registers with business owners, monitor risk treatments and report on material risks and overdue actions. You will also maintain the material contracts and lease registers, flagging upcoming renewals, expiries and obligations, and provide visibility over external legal engagements, reporting on matter status, legal spend, budget performance and emerging issues. As directed by the Company Secretary, you will manage relationships with regulators, external legal providers and industry bodies, ensuring engagements are cost-effective and aligned to business priorities.
You will bring demonstrated experience in governance, risk, compliance or corporate secretariat support, including maintaining registers, coordinating statutory obligations and preparing executive-level reports for senior stakeholders. A tertiary qualification in risk management, governance, law, business, public administration or a related discipline is expected, along with strong Microsoft Office skills and comfort working across governance systems. Experience in healthcare or another highly regulated sector is highly desirable, and private hospital experience will be viewed particularly favourably. You will be meticulous with detail, calm under tight timeframes, an exceptional written communicator, and someone who can be trusted with sensitive board and executive matters. Self-motivated and proactive, you will build strong working relationships across support office and operational management to get things done.
