Job summary

ENOC invites applications for a transaction support role within the Investments and Corporate Solutions (I-CS) department. You will lead evaluation and execution support for M&A and inorganic growth initiatives, building financial models and preparing memorandums and presentations for leadership.

The role requires 3-5 years in corporate finance or M&A, an MBA preferred, and experience in the Middle East. Strong analytical, communication and Excel/PowerPoint skills are essential.

Job description

Job Purpose

To serve as transaction support for all projects tasked to the Investments and Corporate solutions department. The scope of the I&CS department includes all inorganic investments, corporate solutions as defined per the approved I&CS Procedure Manual and other ad hoc projects tasked by ENOC Leadership.

Principal Accountabilities

• Leading and supporting the evaluation & execution efforts of Investment and Corporate Solutions within the I&CS Department
• Take a lead role in evaluating opportunities on an independent basis and providing recommendation with direct oversight by Manager – Investment and Corporate Solutions and Head - Investment & Corporate Solutions
• Support the Manager – Investment and Corporate Solutions in evaluation of Investment Solutions vs. agreed screening criterion to determine the applicability and relevance of a particular Investment or Corporate Solution to the ENOC Group
• Support the Manager – Investment and Corporate Solutions in the development of complex financial modelling including creating, maintaining and reviewing complex financial models and valuation analyses, including DCF, trading comparables, precedent transactions, LBO analyses, merger models and transaction impact analyses; as applicable to a particular Investment or Corporate Solution
• Continuously provide requisite support to the Manager – Investment and Corporate Solutions during each phase of the execution process from initiation to closing
• Support the Manager – Investment and Corporate Solutions in the production of high quality deliverables such as Descriptive Memorandums, Management Presentations, Board materials and other presentation materials for use in Investment Solutions and other situations
• Assist the deal team throughout the due diligence process (specifically, the diligence work streams include technical, commercial, environmental, legal etc. with business segments leading their diligence work streams)
• Assist in the coordination of activities of the internal working group, management of external consultants and advisors
• Support the Investment and Corporate Solutions Manager in development of the Inorganic Strategy & Controls maintenance
• Maintain know how of industry updates and track sector specific updates and target companies operating in the regions and product segments of interest to ENOC
• Maintain database of evaluation and origination efforts
• Support the Manager - Investment and Corporate Solutions in periodic reviews and updates to ENOC’s overall inorganic strategy, and apprise business leadership, Executive Management and Board
• Support the Manager - Investment and Corporate Solutions in establishing direct investment criteria and rationale for Investments & Corporate Solutions
• Support the Manager - Investment and Corporate Solutions in continuous monitoring of inorganic market events and trends and advise on updates to ENOC’s inorganic growth strategy & associated investment criteria
• Manage the continuous maintenance and updates to relevant registers (M&A register, Insider Register, NDA Register, Invoice Register, Synergy Register, Transfer of Ownership Checklist, Risk Register, Cost Register) as applicable and relevant to a particular Investment or Corporate Solution
• Implementation of Internal Work Processes
• Prepare instruction manuals and guides for easy reference by team and to ensure clarity on every step of the Corporate Solution evaluation & execution process
• To the extent available, perform preliminary diligence on parties with whom we transact to reduce reputational risk
• Adhere to I&CS departmental procedures and implement instructions and controls covering specific areas of activity so that all relevant procedural/legislative requirements are fulfilled

Additional Principal Accountabilities Cyber Information Security Responsibilities

• Comply with all applicable information security policies, standards, and procedures.
• Classify and protect information assets in accordance with the Data Classification Standard.
• Participate in mandatory information security awareness and training programs.
• Support information security initiatives and activities within the organization.
• Consider information security requirements when managing changes involving information assets.
• Report security incidents, vulnerabilities, weaknesses, or non-compliance in accordance with established procedures.
• Fulfil role-specific information security responsibilities and contribute to maintaining the effectiveness of the Information Security Management System (ISMS).

Experience & Qualifications

• Bachelors' Degree in a relevant discipline.
• An MBA Degree level of education from a leading University is highly desirable.
• 3-5 years of experience (Ideally in a role supporting execution of M&A transactions.)
• Experience with completing transactions in Middle East, North Africa, Africa and Central Asia is preferred.
• Oil & Gas transactional experience is a plus.
• Demonstrated experience gained through an M&A department or a corporate finance function at an O&G company, an investment bank, a private equity house or sovereign-wealth fund.
• Proven teamwork skills and ability to leverage teams and networks.
• English speaking essential, Additional language skills are a plus.
• Exceptional quantitative skills required to build financial models, perform valuation analyses, merger modelling and other corporate finance analysis.
• Excellent communication skills. Able to concisely present orally and in presentations.
• Familiarity with the use of Power Point, Excel, Word and general Microsoft Office Suite along with Fact Set, Bloomberg, Capital IQ and use of other standard M&A industry databases.
