Job summary

Placements24 is seeking an experienced In-House Legal Counsel specializing in mergers and acquisitions to support the company’s acquisition and divestiture strategies from its Sandton office. You will lead due diligence, draft and negotiate core documents, and ensure regulatory compliance across transactions.

The role requires Admitted Attorney status, 6+ years in M&A and corporate law, and the ability to manage high-stakes deals in a fast-paced environment.

Qualifications

• Admitted Attorney of the High Court of South Africa required.
• Minimum of 6 years’ post-qualification experience with significant M&A and corporate law focus.
• Proven track record in managing complex M&A transactions from start to finish.
• In-depth knowledge of South African company law, securities regulation and transactional practice.
• Excellent drafting, negotiation and analytical skills.
• Strong project management and organizational abilities.
• Ability to work in a demanding, fast-paced corporate environment.
• Excellent communication and stakeholder management skills.
• Experience in financial services or investment sector is a plus.
• Based in or able to commute regularly to Sandton, Gauteng.

Responsibilities

• Lead and manage the legal aspects of M&A transactions, including acquisitions, disposals, and joint ventures.
• Conduct comprehensive legal due diligence investigations on target companies.
• Draft, review, and negotiate key transaction documents, such as Sale of Shares Agreements and Share Purchase Agreements.
• Advise on corporate structuring, governance, and regulatory compliance related to transactions.
• Collaborate with internal business teams, finance departments, and external advisers.
• Identify, assess, and mitigate legal risks associated with transactions.
• Ensure compliance with the Companies Act, Takeover Regulations, and other relevant legislation.
• Provide general corporate and commercial legal advice to business units.
• Manage post-transaction integration and legal requirements.
