Placements24 is seeking a Senior Corporate Counsel to lead our fully remote legal department. This strategic role advises on corporate governance, M&A, and complex commercial matters while shaping the company’s legal strategy from Randburg to clients nationwide.

The ideal candidate will have an LLB, be admitted as an Advocate or Attorney, and possess 10+ years in corporate law with in-house experience. Remote collaboration with executive leadership and cross-functional teams is essential.

Qualifications

Responsibilities

About the Role

Our client is seeking a highly accomplished and strategic Senior Corporate Counsel to join their fully remote legal department. This is a leadership role responsible for providing expert legal advice on a broad spectrum of corporate and commercial matters. You will play a crucial part in shaping the company's legal strategy, managing significant transactions, and ensuring compliance with all applicable laws and regulations. The ideal candidate is a seasoned legal professional with extensive experience in corporate law, capable of working autonomously and collaborating effectively with executive leadership and cross-functional teams in a virtual environment, serving clients nationwide from Randburg .

Key Responsibilities

• Provide strategic legal counsel on corporate governance, securities law, mergers and acquisitions, and complex commercial transactions.
• Draft, review, and negotiate high-value contracts, joint ventures, and strategic partnerships.
• Oversee and manage litigation and dispute resolution matters, coordinating with external counsel as needed.
• Ensure compliance with all local and international laws, regulations, and ethical standards.
• Develop and implement legal policies and procedures to mitigate risk and support business objectives.
• Advise on intellectual property strategy, employment law, and corporate social responsibility initiatives.

Requirements

• A Bachelor of Laws (LLB) degree or equivalent qualification.
• Admission as an Advocate or Attorney with a minimum of 10 years of progressive experience in corporate law, preferably with a significant tenure in an in-house setting.
• Demonstrated expertise in handling complex corporate transactions, M&A, and governance matters.
• Strong understanding of international business law and regulatory compliance.
• Exceptional negotiation, drafting, and analytical skills.
