Placements24 is seeking a seasoned Lead Corporate Attorney to helm the company’s legal strategy from a remote base in South Africa. You will oversee all corporate matters, governance, and major transactions while guiding a high-performing legal team.

You will provide strategic counsel to senior management and the board, ensure regulatory compliance, and drive a culture of integrity and risk management across the organization.

Qualifications

• Admitted as an Attorney or Advocate of the High Court of South Africa.
• At least 10 years of progressive corporate law experience with leadership.
• Extensive mergers & acquisitions, corporate finance and securities law expertise.
• Proven track record in managing complex legal projects and transactions.
• Strong strategic thinking, leadership and decision-making abilities.
• Excellent negotiation, drafting and analytical skills.
• Outstanding written and verbal communication capabilities.
• Experience leading a remote legal team.
• High ethical standards and professional excellence.
• Proficiency in legal research and relevant business software.

Responsibilities

• Develop and execute the company's corporate legal strategy aligned with business objectives.
• Oversee governance, board meetings, shareholder relations and regulatory filings.
• Lead mergers, acquisitions, divestitures and other major corporate transactions.
• Provide expert counsel on complex corporate and securities matters.
• Manage the legal team and foster professional development in a remote setting.
• Draft, review and negotiate high-value commercial agreements and documents.
• Ensure compliance with laws, regulations and listing requirements.
• Advise on risk management and compliance frameworks across the organization.
• Liaise with external counsel, regulators and stakeholders on behalf of the company.
• Develop and implement internal legal policies to enhance governance.
