Qualifications

• Admitted Attorney with at least 6 years of post-qualification experience in corporate law or governance.
• Proven expertise in corporate governance, compliance, and company secretarial duties.
• Thorough knowledge of the Companies Act and related legislation.
• Excellent drafting, advisory, and interpersonal skills.
• Proficiency in using legal and collaboration software for remote work.
• High level of integrity and ethical standards.

Responsibilities

• Advise the board of directors and executive management on corporate governance best practices and compliance.
• Ensure compliance with all relevant corporate laws, regulations, and listing requirements.
• Manage statutory registers, board meeting preparations, and minute-taking.
• Oversee shareholder communications and compliance with shareholder agreements.
• Develop and implement corporate governance policies and procedures.
• Conduct legal research on governance issues and provide timely advice.
