Placements24—Benoni-based firm is seeking a Junior Legal Counsel to support a busy corporate legal team. You will assist in M&A transactions, due diligence, and drafting deal documents alongside senior counsel.

This role offers hands-on exposure to high-profile corporate matters and rapid learning in a dynamic environment. Ideal candidates will have an LLB, SA qualification, and 1–3 years of PQE with a keen interest in M&A and corporate finance; strong research, writing, and analytical skills

Qualifications

• LLB degree or equivalent legal qualification.
• Admitted as an Attorney or Advocate of the High Court of South Africa.
• 1-3 years of post-qualification experience, preferably with some exposure to corporate law, M&A, or corporate finance.
• A strong academic record and demonstrable interest in M&A.
• Excellent analytical, research, and writing skills.
• Meticulous attention to detail and organizational abilities.

Responsabilités

• Assist in conducting legal due diligence for potential M&A transactions.
• Support the drafting and negotiation of term sheets, letters of intent, and sale and purchase agreements.
• Review and analyze corporate records, contracts, and other relevant documents.
• Coordinate with internal business units and external advisors (legal, financial, technical) during transactions.
• Assist in managing the closing process for M&A deals.
• Conduct legal research on specific issues relevant to M&A transactions and corporate governance.
• Help ensure compliance with all applicable laws and regulations related to corporate transactions.
• Support the broader corporate legal team with general corporate and commercial matters as needed.
• Maintain organized records and manage transaction documentation.
• Learn and apply company policies and procedures relating to M&A activities.
