Qualifications

• Admitted Attorney of the High Court of South Africa (or equivalent).
• Strong academic record with interest in corporate/commercial law.
• Excellent legal research, analytical, and drafting skills.
• Able to work independently, with remote-work capabilities.

Responsibilities

• Draft and negotiate commercial agreements, such as shareholder and JV agreements.
• Conduct legal research and prepare memoranda on corporate and commercial issues.
• Support due diligence for mergers, acquisitions, and other corporate transactions.
• Assist with company secretarial duties, including board minutes and resolutions.
• Provide legal support to clients under supervision of senior lawyers.
• Review documents for accuracy and regulatory compliance.

About the Role

You will work closely with senior attorneys on a variety of matters, including company formations, mergers and acquisitions, corporate governance, and commercial contracts. Key Responsibilities

• Assist in the drafting and negotiation of commercial agreements, such as shareholder agreements, joint venture agreements, and service contracts.
• Conduct legal research and prepare memoranda on various corporate and commercial law issues.
• Support the due diligence process for mergers, acquisitions, and other corporate transactions.
• Assist with company secretarial duties, including the preparation of board minutes and resolutions.
• Handle general corporate law matters and provide legal support to clients under the supervision of senior lawyers.
• Review and analyze legal documents to ensure accuracy and compliance with relevant laws and regulations.

Requirements

• Admitted Attorney of the High Court of South Africa (or equivalent).
• A strong academic record and a demonstrated interest in corporate and commercial law.
• Excellent legal research, analytical, and drafting skills.
• Strong communication and interpersonal abilities, with the capacity to build rapport with clients and colleagues.
