Placements24 is seeking a meticulous Corporate Governance Specialist for our client in Port Elizabeth to oversee governance practices, ensure compliance with the Companies Act and King IV, and support the board and management.

The role focuses on policy development, internal controls, and risk assessment, contributing to ethical conduct, strategic oversight, and long-term sustainability for the organisation.

Qualifications

• Tertiary qualification in Law, Business Administration, or a related field.
• Minimum of 5 years of experience in corporate governance, compliance, or company secretarial roles.
• Thorough understanding of South African corporate law and governance principles (King IV is essential).
• Excellent communication, interpersonal, and report-writing skills.
• Ability to work effectively with senior management and board members in Port Elizabeth.

Responsibilities

• Develop, implement, and maintain the company's corporate governance framework and policies.
• Advise the Board of Directors and executive management on governance best practices and compliance obligations.
• Ensure compliance with the Companies Act, King IV Report, and other relevant corporate governance codes.
• Manage board meetings, including preparing agendas, minutes, and resolutions.
• Conduct governance reviews and risk assessments, and recommend improvements.
