Job summary

TMF Group is seeking a Corporate Governance Officer to support our entities across Jersey and Guernsey. The role centers on coordinating board and committee governance, maintaining statutory records, and ensuring full regulatory compliance.

Working Monday–Friday, 9–5 UK time, you will collaborate with a small governance team and interact with an international client base. This position offers professional development through the TMF Business Academy and opportunities to strengthen internal

Qualifications

• 2–3 years of experience in Corporate Governance or administration within Funds/Company environments.
• Knowledge of Jersey and Guernsey regulatory requirements.
• Strong written English with the ability to draft formal governance documents.

Responsibilities

• Prepare agendas and documentation for Board and Committee meetings.
• Compile and manage Board Packs via Board software.
• Attend meetings and handle all related communication.
• Take and draft minutes for scheduled and ad hoc meetings; circulate, file, and finalize documents.
• Draft written resolutions and maintain statutory registers.
• Assist and action Annual Confirmations and stock transfer forms.
• Ensure timely completion of statutory filings, notifications, and regulatory requirements.
• Track and follow up on action points from meetings.
• Support client-specific governance procedures and internal controls.
• Maintain accurate system data for all entities.
• Assist with managing internal stakeholder relationships.
• Contribute to team tasks and ad hoc projects as needed.
