Responsibilities

• Provide legal counsel on mergers and acquisitions (M&A), structured notes, structured cash, derivatives products, and Fixed Income business lines.
• Analyze and draft M&A-related materials, including asset purchase agreements, NDAs, and commitment letters.
• Advise on deal-contingent hedges, related swaps, and securities laws-related matters.
• Review credit agreements and transaction documents concerning complex project financing transactions.
• Manage outside counsel across multiple jurisdictions to assess the probability of successful debt financing and acquisition closings.
• Provide dedicated legal coverage to existing structured note programs.

Eligibility & Requirements

• Education: A Juris Doctor (JD) degree from a top-tier US law school with excellent academic credentials.
• Bar Admission: Active admission to the New York State Bar.
• Experience: A minimum of three (3) years of practice at a top AmLaw 100 firm, with direct exposure to banking and finance, structured finance, project finance, and/or securities regulatory matters.
• Skills: A strong willingness to learn new financial products, adapt to diverse practice areas, and work collaboratively as a team player.

Compensation and Benefits

The position offers a highly competitive compensation package, which includes:

• Base Salary: $250,000.00 to $265,000.00 per year (final pay is determined by skills and experience).
• Performance-based bonuses.
