JPMorgan Chase & Co. seeks an attorney with a solid foundation in capital markets to support Equity and Debt offerings, including IPOs, follow-ons, and private placements.

The role involves drafting, reviewing, and negotiating a broad range of securities documents and advising on regulatory risk with internal teams and external counsel. You will work across the Legal Practice Group with Compliance, Conflicts and Litigation, supervising external counsel when appropriate and contributing to

Qualifications

• 3+ full years’ capital markets transactional experience and contract drafting/negotiation.
• Familiarity with U.S. securities laws applicable to public and private offerings ('33/'34 Act, FINRA, SEC rules).
• Strong drafting, analytical, and research skills; ability to work independently and with a global team.

Responsibilities

• Draft and/ or negotiate engagement letters, underwriting/purchase agreements, dealer manager agreements, rep letters, NDAs, etc.
• Review registration statements/ offering documents and related opinions and letters for public and private offerings.
• Provide guidance on regulatory requirements to internal partners, including Compliance, Conflicts and Litigation.
• Partner with senior attorneys to support training and department initiatives.
• Manage and update template documents and guidelines.
• Contribute to the development of industry positions on regulatory developments.
