JPMorgan Chase & Co. in New York seeks a junior/mid-level attorney to support the Global Investment Banking Legal Practice Group. The VP role focuses on equity and debt capital markets, reviewing and negotiating core transactions and related regulatory considerations.

You will advise on 33/34 Act issues and collaborate across Compliance, Conflicts and Litigation teams. You will work with internal bankers and external counsel, manage templates, and contribute to industry-facing regulatory

Formación

• JD and NY bar admission are required.
• 3+ years of Capital Markets transactional experience.
• Experience drafting and negotiating capital markets documents (underwriting agreements, engagement letters, rep letters, NDAs).
• Knowledge of U.S. securities laws (’33/’34 Act, FINRA, SEC rules, Reg M).
• Ability to work independently and with cross-functional teams.
• Strong drafting, analytical and communication skills.

Responsabilidades

• Draft and/or negotiate engagement letters, underwriting and purchase agreements, dealer manager agreements, rep letters, and NDAs.
• Review registration statements/offering memoranda and related opinions and comfort letters.
• Provide guidance on regulatory requirements to internal partners (Compliance, Conflicts, Litigation).
• Partner with senior attorneys for training and department initiatives.
• Manage/update template documents and guidelines.
• Contribute to industry positions on regulatory developments.
