Job summary

JPMorgan Chase & Co. in New York seeks a Vice President, Assistant General Counsel for the Global Investment Banking Legal Practice Group to focus on capital markets transactions, including equity and debt offerings, IPOs, follow-ons, and private placements.

You will draft, review and negotiate a wide range of cap markets documents and advise on regulatory risks under the ’33/’34 Acts, FINRA and SEC rules, Reg M, and exemptions; collaborate across Compliance, Conflicts and Litigation and

Qualifications

• Law school degree (JD) and NY bar admission.
• 3+ full years’ capital markets experience with contract drafting and negotiation.
• Familiarity with U.S. securities laws for public/private offerings (e.g., 33/34 Acts, FINRA, SEC rules).
• Extensive experience drafting/reviewing capital markets documents (underwriting/purchase agreements, NDAs, rep letters).
• Strong drafting skills, attention to detail, and ability to work independently on transactions.

Responsibilities

• Draft and/ or negotiate engagement letters, underwriting/purchase agreements, dealer manager agreements, rep letters, NDAs, etc.
• Review registration statements / offering memoranda, counsel opinions, and comfort letters for public/private offerings.
• Provide guidance on regulatory requirements to internal partners (Compliance, Conflicts, Litigation).
• Partner with senior attorneys to assist with training and department initiatives.
• Manage and update templates: contracts, guidelines, memos, rep letters, etc.
• Contribute to development of industry positions on regulatory developments.
