Job Summary
We are seeking a strategic and experienced Vice President, General Counsel to join the executive team and oversee all legal, compliance, corporate governance & disclosure, government & industry relations (GIR), and ESG initiatives for Porch Group, Inc., a publicly traded company listed on Nasdaq. As the chief legal officer, this role will provide counsel to the executive leadership team and Board of Directors on strategy and various business initiatives. The ideal candidate will bring deep expertise in the home insurance industry, and a demonstrated ability to align legal, GIR and ESG strategy with business objectives. Such a candidate will have experience managing teams of 10 or more.
The General Counsel will report directly to the CEO and is a member of the Senior Leadership Team for Porch.
What You Will Do As Vice President, General Counsel
Legal & Regulatory Strategy
- Lead Porch’s legal & compliance functions with an emphasis on regulatory compliance, insurance law, litigation management, employment law & relations matters, intellectual property, and transactional matters.
- Be a business partner to Porch executives and business leaders, providing advice and assistance aimed at maximizing shareholder value.
- Serve as a primary liaison with insurance regulators at the state and federal levels, as well as CIMA, ensuring timely filings, examinations, and responses.
- Monitor evolving laws and regulations in the insurance and financial services sectors and proactively advise leadership on their impact.
- Familiarity with global employment operations and compliance.
Corporate Governance & Public Company Compliance
- Provide strategic guidance to the Board of Directors and executive team on corporate governance matters; act as primary owner of board calendar / agenda and related process management (working alongside CEO and Lead Independent Director).
- Oversee key components of public company disclosure regime and related filings with the SEC (including 10-Ks, 10-Qs, 8-Ks).
- Primary owner of preparation and filing of annual proxy statement with the SEC and execution of the annual shareholder meeting.
- Ensure compliance with applicable securities regulations, Nasdaq rules, company policies, and Sarbanes-Oxley (SOX) requirements.
- Primary executive responsible for managing Porch’s Nominating and Governance Committee.
- Primary owner of annual D&O insurance evaluation and renewal process.
- Oversee subsidiary governance for wholly owned or controlled subsidiaries, including a reciprocal exchange structure that houses the insurance business.
Leadership & Team Management
- Lead and mentor a high-performing legal and compliance team of 10 or more persons that is aligned with our company values, setting clear goals, accountability structures, and professional development plans.
- Experience developing high-impact leaders who have transformative impact to team and material impact on strategic goals of company.
- Identify and own relationships with external counsel and other professional advisors, optimizing cost and quality. Responsible for managing overall legal expenses.
Contracting, Transactions & Litigation
- Oversee a team to negotiate, draft, and review a wide range of agreements including reinsurance contracts, agency & vendor agreements, distribution partnerships, and strategic corporate transactions. Views legal as an enabler of commercial transactions.
- Support financing (cap table) & corporate development activities including M&A, joint ventures, debt/equity issuances, and strategic investments.
- Responsible for managing all litigation and maximizing outcomes both as a plaintiff and defendant.
ESG Leadership
- Lead legal oversight and strategic alignment of the company’s ESG efforts, ensuring regulatory compliance and stakeholder transparency.
- Advise the executive team on ESG-related disclosures, emerging regulations, and material risk areas, particularly around climate risk, diversity, and governance practices.
- Collaborate cross-functionally to integrate ESG considerations into business operations and investor communications.
Compliance & Ethics Program
- Oversee enterprise-wide compliance programs, including FCPA, cybersecurity/privacy, code of conduct, insider trading, and whistleblower protections.
- Oversee annual functional maturity self-assessment process across all functions in the organization.
- Ensure compliance programs meet US and international requirements.
- Foster a culture of integrity, accountability, and legal compliance across the organization.
What You Bring As Vice President, General Counsel
- Juris Doctor (JD) from an accredited law school; active and in good standing with a U.S. state bar (preferred: Washington).
- 20+ years of legal experience, including 10+ years in-house counsel leadership at an insurance company or financial services firm.
- Deep knowledge of state and federal insurance laws and regulatory frameworks (e.g., NAIC, state DOI requirements) as well as offshore insurance frameworks like CIMA.
- Strong understanding of public company compliance, securities law, and corporate governance.
- Knowledge of insurance-specific operational risks, such as reinsurance, underwriting compliance, product review and claims; extra points for knowledge of reciprocal exchange structures.
- Demonstrated experience with M&A and subsequent integration.
- Demonstrated experience with GIR.
- Demonstrated leadership in developing or advising on ESG strategies and regulatory disclosure frameworks.
- Experience with global business operations.
- Proven ability to manage legal risk while enabling business growth.
- Experience leading ESG disclosure and risk governance in a public company setting.
- Familiarity with enterprise risk management (ERM) and capital adequacy frameworks.

What You Will Get As A Porch Group Team Member
Pay Range*: $270,000.00 - $310,000.00 annually
- Please know your actual pay at Porch will reflect a number of factors among which are your work experience and skillsets, job-related knowledge, alignment with market and our Porch employees, as well as your geographic location.
You will also be eligible to receive an annual bonus based on individual and company performance, subject to program guidelines and approvals.
Additionally, you will be eligible to receive long-term incentive awards, subject to program guidelines and approvals.
