Job summary

Vela Wood in Texas is seeking a venture attorney to manage venture transactions, draft and review legal documents, conduct due diligence, and advise clients on corporate matters.

You'll assist on SAFE, convertible notes, equity financings from early-stage to Series A and beyond, draft formation and governance documents, perform risk analysis, and support senior attorneys in day-to-day client requests in a fast-paced, hands-on team.

Qualifications

• Juris Doctor degree from an ABA-accredited law school.
• Admission to the Texas Bar.
• 2–4 years of venture law experience, preferably in a law firm.
• Familiarity with NVCA, Series Seed, SAFE and Convertible Note instruments.
• Strong analytical and communication skills.

Responsibilities

• Assisting venture capital transactions, including SAFE, convertible note and equity financings, from early-stage to Series A and beyond.
• Advising on and drafting documentation for both company-side and investor-side transactions.
• Drafting entity formation, governance and organizational documents.
• Conducting due diligence processes and risk-analysis.
• Supporting Seniors attorneys on day-to-day client requests.
