Job summary

Vela Wood Staley Young P.C. in Dallas or Austin seeks a Venture Attorney to act as trusted counsel to emerging companies, founders and venture investors from formation through early stage finance rounds and beyond.

This role will manage venture transactions, draft and review documents, conduct due diligence, and advise on strategic corporate matters, including leading venture capital transactions from SAFE, convertible notes and equity financings to Series A and beyond.

Qualifications

• Juris Doctor degree from an accredited law school.
• Admission to the bar in Texas.
• 5-8 years of venture law experience, preferably in a law firm.
• Familiarity with NVCA, Series Seed, SAFE and Convertible Note financing instruments.
• Experience drafting pro forma cap tables and financing models, including anti-dilution mechanics, post-money ownership calculations.
• Strong analytical and problem-solving skills.
• Excellent written and oral communication skills.
• Ability to work independently and as part of a small, hands-on team in a fast-paced environment.
• Demonstrated commitment to delivering high-quality legal services and achieving favorable outcomes for clients.

About the Role
