BCG Attorney Search in San Mateo, California seeks a high-energy Corporate Associate Attorney with 4+ years of experience to handle venture capital financings, M&A, and outside general counsel work for startups. The position emphasizes drafting, negotiation, and strategic advisory across complex commercial and tech agreements.

The ideal candidate holds a JD, is admitted to the California Bar, and has a strong foundation in securities exemptions and QSBS.

Qualifications

• 4–5 years of dedicated corporate law experience, specifically in ECVC and M&A sectors.
• Strong drafting and negotiation skills for complex commercial and corporate contracts.
• Solid foundational knowledge of securities law exemptions and Blue Sky filing requirements.
• Familiarity with Section 1202 (QSBS) and tax optimization strategies is a plus.

Responsibilities

• Lead and support venture capital financings, including drafting NVCA-based documents, SAFEs, and convertible notes.
• Manage buy-side and sell-side private acquisitions, including due diligence and drafting transaction documents.
• Act as outside general counsel for startups and privately held companies, assisting with entity formation and equity compensation matters.
• Review, draft, and negotiate commercial and technology agreements, including IP licensing and SaaS agreements.
• Serve as a primary point of contact for clients, delivering strategic legal advice.
