Job summary

Watts & Associates seeks an Emerging Companies & Venture Capital Associate in San Francisco to handle venture financings, company formation, governance and strategic transactions for founders, startups, investors and strategic buyers. The role offers exposure to high-value matters in a leading Am Law 50 environment.

You will work closely with partners and senior lawyers, taking ownership of substantive matters and gaining experience across formation, drafting, negotiation and diligence.

Qualifications

• Approximately 4–8 years of emerging companies, venture capital or related corporate experience.
• Experience with venture financings and company-side or investor-side transactions.
• Strong drafting skills involving financing and governance documents.
• Excellent analytical, organisational and problem-solving abilities.
• Ability to manage multiple fast-moving matters and client priorities.
• Strong interpersonal and client-service skills.
• Excellent academic credentials and sophisticated law-firm experience.
• Admission to the California Bar, or eligibility to obtain admission promptly.

Responsibilities

• Advise companies on formation, governance and equity matters.
• Draft and negotiate preferred-stock and other venture financing documents.
• Represent investors in early-stage and growth-equity transactions.
• Support board, stockholder and securities-law matters.
• Advise on option plans, equity incentives and capitalization issues.
• Assist with strategic transactions, secondary sales and liquidity events.
• Coordinate legal diligence and multidisciplinary transaction support.
• Work directly with founders, executives, boards and investors.
• Manage transaction processes from term sheet through closing.
