• 5+ years of paralegal experience, including 2+ years in investment management, private equity, venture capital, RIAs or a law firm funds/RIA practice
• Experience supporting fund closings, LP subscription processes, or securities transactions
• Comfort managing multiple concurrent workstreams independently

Responsibilities

• Fund formation and deal support including subscriptions, KYC/AML materials, and transfer documents
• Support fund formation cycles from entity formation through registration and filing
• Outside counsel management: coordinate billing, track budgets, route invoices, maintain the panel
• Closing logistics: manage signature packages, wire instructions, checklists, closing binders
• Contract & compliance support: draft and manage NDAs, side letters, regulatory inquiries
• Cross-functional collaboration with Legal, Finance, Operations and Investor Relations

Job description

A multi-strategy venture capital investment platform ($10B+ AUM) is hiring a Paralegal for its Bay area legal team. This is a fund formation and deal-support seat — not an admin-heavy role - covering subscription agreements, KYC/AML, outside counsel management, closing logistics, and side letter administration across venture fund, venture debt, and secondaries transactions.

Responsibilities

• Fund Formation & Deal Support — Prepare subscription agreements, KYC/AML materials, and transfer documents; support fund formation cycles from entity formation through registration and filing
• Outside Counsel Management — Coordinate billing, track matter budgets, route invoices, and maintain the preferred counsel panel
• Closing Logistics — Manage signature packages, wire instructions, condition precedent checklists, and closing binders
• Contract & Compliance Support — Draft and manage NDAs, track and administer side letters, support regulatory inquiries and special projects
• Cross-Functional Collaboration — Partner with Legal, Finance, Operations, and Investor Relations to support the firm's investment platform
