Job summary

BCG Attorney Search seeks a Corporate Associate in Raleigh, NC, with 3–6 years of experience to join their team, focusing on drafting, negotiating, and client communication for complex corporate transactions in tech, biotech, and VC sectors.

The role includes engaging in mergers and acquisitions, due diligence, fundraising, and serving as outside general counsel while managing cap tables and related financial documents. North Carolina bar admission or eligibility is required.

Qualifications

• Three to six years of relevant corporate experience.
• Juris Doctor from an accredited law school.
• Demonstrated interest in the innovation economy and venture-backed companies.
• North Carolina bar license preferred; ability to become licensed in NC required.

Responsibilities

• Draft and negotiate complex corporate transactions.
• Conduct transactional due diligence.
• Assist in fundraising and venture financings.
• Serve as outside general counsel, advising clients and reviewing contracts.
• Manage capitalization tables and prepare waterfalls and pro formas.
