Our client, a leading national law firm, is seeking an experienced Technology Transactions & Health Care Privacy Associate to join its Miami office. This is an excellent opportunity for an attorney with 4–8 years of experience to join a sophisticated Technology Transactions, Cybersecurity & Privacy practice, with a particular focus on clients in the health care and life sciences sectors.

The successful candidate will advise clients on a broad range of commercial technology transactions, including software and SaaS agreements, data licensing and use agreements, cloud services agreements, professional services agreements, strategic collaborations, and other agreements involving digital health products and services.

The role also offers the opportunity to advise on emerging health technology and artificial intelligence matters, including the development, deployment, licensing, and use of AI-enabled products, health data, and digital health solutions.

Responsibilities

• Draft, review, and negotiate complex commercial technology agreements.
• Advise on software and SaaS agreements, cloud services agreements, and data licensing and use agreements.
• Handle professional services agreements and strategic collaboration agreements.
• Advise clients on transactions involving digital health products and services.
• Counsel clients on privacy and data security laws applicable to health care and health technology, including HIPAA and state health and consumer privacy laws.
• Advise on health technology and artificial intelligence matters, including AI-enabled products and digital health solutions.
• Negotiate business associate agreements and data protection provisions.
• Manage transactions independently while collaborating with senior attorneys and clients.

Qualifications

• 4–8 years of relevant technology transactions experience.
• Experience working with clients in the health care and/or life sciences sectors.
• Strong experience drafting, reviewing, and negotiating commercial technology agreements.
• Working knowledge of HIPAA and state health and consumer privacy laws.
• Experience with health technology, artificial intelligence, AI-enabled products, or digital health solutions is strongly preferred.
• Experience negotiating business associate agreements and data protection provisions is preferred.
• JD from an ABA-accredited law school with strong academic credentials.
• Active membership in good standing of a state Bar, with timely admission in Florida required.
• Excellent drafting, negotiation, analytical, and communication skills.
• Ability to manage transactions independently and collaborate effectively with attorneys and clients.
• Base salary of $290,000–$420,000, depending on experience and other relevant factors.
