An international AmLaw 50 firm is seeking a talented Associate Attorney to join its leading Technology Transactions Practice Group in San Francisco. You will work on high-impact intellectual property and commercial transactions for cutting-edge technology clients globally.

Ideal candidates hold a JD from a top-tier law school with coursework in IP, technology, and commercial law, and have 3–6 years of IP and technology transactions experience in a law firm setting.

Qualifications

• JD from top law school with excellent academic record.
• Coursework in IP, technology, and/or commercial law is required.
• Active Bar Admission in California, in good standing.

Responsabilités

• Draft, review, and negotiate a wide range of technology and IP agreements, including licensing, development, services, distribution, and collaborations.
• Provide IP diligence and strategic counseling in connection with M&A, equity financing, E-commerce, media, and entertainment transactions.
• Collaborate with internal teams to address IP-related risks and strategy.
• Advise clients on structuring commercial transactions that align with business models and technology trends.
• Work directly with clients to understand objectives and craft tailored legal solutions.
• Contribute to team development, knowledge sharing, and client growth initiatives.

Candidate Profile

• JDfrom atop-tier law schoolwith anexcellent academic record.
  • Coursework in IP, technology, and/or commercial law is required.
• Active Bar Admissionin California, in good standing.
• 3–6 years of substantive experience withintellectual property(IP) andcommercial transactionsin alaw firm setting.
• Demonstrated experience structuring,drafting, andnegotiatingcomplexIP and technology-related agreements, including licensing, development, services, distribution, and strategic partnerships.
• Experience handling the IP aspects ofmergers and acquisitions(M&A) andequity financing transactions.
• Interest in, or experience with, artificial intelligence is advantageous.
• Technicalbackground strongly preferred.
  • Science Degree or experience working with technology (Computer Science, Computer Programming, Engineering, etc.)
• Ability to manage multiple deal streams in a fast-paced environment.
• Soft Skills: Excellent research, writing, analysis, and communication skills are essential, alongside a strong business acumen and meticulous attention to detail.

Compensation & Benefits

• Competitive Salary: $260,000 – $365,000, commensurate with experience and class year.
