Job summary

Connectly Recruiting is seeking a Technology Transactions Associate Attorney in San Francisco, CA, to join a leading AmLaw 50 firm’s Technology Transactions Practice Group. The role focuses on high-impact IP and commercial tech transactions for global clients, with emphasis on licensing, development, services, and collaborations.

The ideal candidate has 3–6 years of IP and commercial transactions experience, a CA bar in good standing, and a technical background or science degree.

Qualifications

• JD from a top-tier law school with an excellent academic record.
• Coursework in IP, technology, and/or commercial law is required.
• Active Bar Admission in California, in good standing.
• 3–6 years of substantive IP and commercial transactions experience in a law firm.
• Experience structuring, drafting, and negotiating IP and technology-related agreements (licensing, development, services, distribution, partnerships).
• IP aspects of M&A and equity financing experience; AI exposure advantageous.

Responsibilities

• Draft, review, and negotiate technology and IP agreements including licensing, development, services, distribution, manufacturing, and collaborations.
• Provide IP diligence and strategic counseling in connection with M&A and equity financing, E-commerce, media, and entertainment transactions.
• Collaborate with internal teams to address IP risks and strategy.
• Advise clients on structuring commercial transactions aligned with evolving business models and tech trends.
• Work directly with clients to understand business objectives and tailor legal solutions.
• Contribute to team development and client growth initiatives.

Candidate Profile

• JDfrom atop-tier law schoolwith anexcellent academic record.
  • Coursework in IP, technology, and/or commercial law is required.
• Active Bar Admissionin California, in good standing.
• 3–6 years of substantive experience withintellectual property(IP) andcommercial transactionsin alaw firm setting.
• Demonstrated experience structuring,drafting, andnegotiatingcomplexIP and technology-related agreements, including licensing, development, services, distribution, and strategic partnerships.
• Experience handling the IP aspects ofmergers and acquisitions(M&A) andequity financing transactions.
• Interest in, or experience with, artificial intelligence is advantageous.
• Technicalbackground strongly preferred.
  • Science Degree or experience working with technology (Computer Science, Computer Programming, Engineering, etc.)
• Ability to manage multiple deal streams in a fast-paced environment.
• Soft Skills: Excellent research, writing, analysis, and communication skills are essential, alongside a strong business acumen and meticulous attention to detail.

Compensation & Benefits

• Competitive Salary: $260,000 – $365,000, commensurate with experience and class year.
