Job summary

Henderson Group, an AmLaw 50 firm, is seeking a talented Associate Attorney to join its leading Technology Transactions Practice Group in San Francisco. You will work on high-impact IP and commercial transactions for cutting-edge technology clients worldwide.

The ideal candidate has a JD from a top-tier law school with excellent academics, CA bar, and 3–6 years of IP and transactional experience, with demonstrated drafting, negotiating, and structuring of complex technology agreements.

Qualifications

• JD from a top-tier law school with an excellent academic record.
• Coursework in IP, technology, and/or commercial law is required.
• Active Bar Admission in California, in good standing.
• 3–6 years of substantive IP and commercial transaction experience in a law firm.
• Experience structuring, drafting, and negotiating complex IP and technology-related agreements, including licensing, development, services, distribution, and partnerships.
• Experience handling the IP aspects of M&A and equity financing transactions.
• Interest in, or experience with, AI is advantageous.
• Technical background strongly preferred (Science Degree or experience working with technology).

Responsibilities

• Draft, review, and negotiate a wide range of technology and IP agreements, including software, tech, and content licensing; software and technology development; professional services; supply & distribution; manufacturing; and collaborations.
• Provide IP diligence and strategic counseling in connection with M&A, equity financing, E-commerce, media, and entertainment transactions.
• Collaborate with internal corporate, litigation, and regulatory teams to address IP-related risks and strategy.
• Advise clients on structuring commercial transactions that align with evolving business models and technology trends.
• Work directly with clients to understand their business objectives and craft tailored legal solutions.
• Contribute to team development, knowledge sharing, and client growth initiatives.

Candidate Profile

Compensation & Benefits

• Competitive Salary: $260,000 – $365,000, commensurate with experience and class year.
