About the Firm:
Our client is a leading asset management firm with a strong focus on alternative investments, including private equity and credit strategies. They are seeking a highly skilled Tax Counsel to join the firm’s tax team. The ideal candidate will have a background in Big Law or a Washington National Tax practice, with in-house experience considered a significant plus. This role will focus on providing legal and tax guidance on complex alternative investment structures, including private equity and credit funds.
Responsibilities
- Provide legal and tax advice on the formation, operation, and restructuring of alternative investment funds and management entities.
- Work closely with investment, finance, and operations teams on tax-related matters affecting fund structures, investments, and transactions.
- Draft, review, and negotiate legal agreements and fund documents with a focus on tax implications.
- Advise on tax compliance, regulatory issues, and IRS/State matters relevant to fund operations.
- Support due diligence and transactional activity related to fund investments, acquisitions, and dispositions.
- Stay current on relevant tax law, regulations, and industry trends affecting alternative investment structures.
Qualifications
- JD, LL.M preferred.
- Minimum of 6-8 years of experience, for candidates coming directly from a Big Law firm, must be at least a 4th or 5th year.
- Prior experience in Big Law or a Washington National Tax practice; in-house experience is a strong plus.
- Hands-on experience with alternative investments, including private equity and credit funds.
- Strong understanding of partnership, corporate, and management company taxation.
- Excellent drafting, negotiation, and communication skills.
- Ability to work collaboratively in a fast-paced, dynamic environment.
