Insite Legal, a full-service mid-sized US law firm with offices in New Jersey and New York, is expanding its Tax practice and seeking an Associate with at least 4 years of transactional tax experience. You can be based in Hackensack or New York with hybrid working.

The role handles federal, state and local tax aspects of M&A, joint ventures and restructurings, and involves drafting tax provisions, structuring partnerships, and advising fund sponsors.

Formación

• JD required with 4+ years of transactional tax experience
• LL.M. in Taxation preferred but not required
• Bar admission in NJ and/or NY
• Strong knowledge of partnership tax
• Excellent analytical and written communication skills

Responsabilidades

• Advise on federal, state and local tax aspects of M&A, JV, and restructurings
• Structure and document partnerships and LLCs, including allocations and waterfalls
• Handle tax aspects of real estate transactions, including 1031 exchanges and REIT matters
• Advise fund sponsors and investors on fund formation and investment structures
• Draft tax provisions in operating agreements and transaction documents
• Prepare research memoranda and present advice to clients
