Flagship Pioneering is seeking a Transactions Counsel to join the growing AP EX Group and work on complex, value-driven deals across venture financings, M&A, licensing, and partnerships. You will collaborate with internal stakeholders and outside counsel on governance, equity issuances, and strategic transactions for Flagship and its portfolio companies.

The role emphasizes independent deal leadership, timely execution, and strong client management in a fast-paced, entrepreneurial setting.

Qualifikationen

• JD degree required and admission to practice law in Massachusetts or another state bar in the United States.
• 3-5 years of relevant experience in corporate transactions, preferably in a major law firm.
• Strong understanding of equity financing, equity awards and corporate governance.

Aufgaben

• Partner with internal stakeholders and outside counsel on a wide range of transactions, including venture financings, capital markets, and M&A.
• Provide legal counsel and support for high-growth companies in Flagship Enterprise.
• Review, prepare, and negotiate financing and governance documents including term sheets and stockholder consents.
• Manage external counsel and drive deals to closure.
• Develop relationships with internal teams and portfolio companies.
